You’d think that, with a name like ‘Company Secretary’, the role would be clerical or secretarial. Of course, it’s neither of these. The Company Secretary is an officer of the company. Their duties can be wide-ranging. They generally entail ensuring the full completion of the company’s administrative and legal duties and acting as an adviser on corporate governance. Although the directors are legally responsible for the company overall, Company Secretaries can take on some of the directors’ day-to-day responsibilities.

What exactly does a company secretary do?

Essentially, a Company Secretary is responsible for ensuring compliance with the Companies Act, 2006. They do this by performing any number of these administrative tasks –

  • Providing registered office facilities
  • Filing statutory documents and financial statements at Companies House – confirmation statements and company accounts
  • Ensuring the company’s register and other records are up-to-date and compliant
  • Safeguarding essential documents such as the memorandum and articles of association, and the certificate of incorporation
  • Arranging board meetings, and ensuring that minutes are taken
  • Advising HMRC and Companies House of any changes in company structure, including appointment and resignation of directors
  • Completion of share transfer forms
  • Preparation of share certificates
